1. Acceptance of These Terms
Revised February 28, 2026. Welcome to Trade It, owned and operated by Trade It, Inc. ("Trade It," "we," "us," "our," or the "Company"). These Terms of Service ("Terms") govern your access to and use of our websites, mobile applications, analytics tools, AI-powered features, and any related products or services we make available (collectively, the "Services"). By accessing or using any part of the Services, you agree to these Terms, our Privacy Policy, and any additional terms that may apply to specific features. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
2. Eligibility, Account Registration, and Security
2.1 Eligibility:
You must be at least 18 years old, reside in a jurisdiction where use of the Services is lawful, and have the legal capacity to enter into a binding agreement. By using the Services, you represent and warrant that you satisfy these requirements.
2.2 Account Registration and Accuracy:
You may be required to create an account and provide current, complete, and accurate information. You agree to keep your information updated and understand that we may rely on the information you provide when making the Services available to you.
2.3 Account Security and U.S. Use:
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us promptly of any unauthorized access or suspected security incident. Unless we expressly state otherwise, the Services are intended only for users physically located in the United States, and you are solely responsible for complying with all laws applicable to your use of the Services.
3. Nature of the Services; No Advice
3.1 Platform Tools:
Trade It provides software tools designed to help you monitor holdings, analyze portfolios, view market information, receive research-style insights, and, where available, connect with third-party providers to facilitate actions you direct. The Services are informational and operational tools only.
3.2 No Investment, Legal, or Tax Advice:
Nothing in the Services constitutes individualized investment advice, a recommendation, a solicitation, a fiduciary undertaking, or legal, tax, or accounting advice. Any investment decision, order, allocation, or strategy you choose to follow is made solely by you and at your own risk. Past performance, back-tested results, or model outputs are not guarantees of future performance.
3.3 Market Data, Alerts, and AI Outputs:
Charts, analytics, rankings, alerts, summaries, and AI-generated outputs may be delayed, incomplete, or incorrect and may change without notice. You are responsible for independently reviewing any information you receive through the Services before acting on it.
4. Brokerage Connections, Orders, and Third-Party Providers
4.1 Brokerage and Provider Connections:
If you choose to connect a brokerage account, bank account, custodian, market data source, or any other third-party provider, you authorize us to exchange the information reasonably necessary to operate the requested connection. You represent that you have the right to connect any account or service you link.
4.2 Orders and Execution:
If the Services allow you to submit or stage transactions, rebalance instructions, or other account actions, those instructions are routed only as you direct and may be subject to review, rejection, delay, cancellation, market conditions, trading halts, system outages, or third-party requirements. We do not guarantee that any order or instruction will be accepted, routed, executed, or executed at any particular time or price.
4.3 Third-Party Terms and Availability:
Third-party providers control their own products, availability, fees, authentication requirements, and account terms. Your use of any third-party provider is governed by that provider's terms, policies, and disclosures, and you are solely responsible for reviewing and accepting them.
5. Subscriptions, Fees, Billing, and Taxes
Certain features of the Services may require a paid subscription or separate fees. By purchasing a subscription or paid feature, you authorize us and our payment processors to charge the applicable fees, recurring charges, and any taxes due. Unless otherwise stated at the time of purchase, subscriptions automatically renew until canceled, and fees are non-refundable except as required by law or expressly stated by us in writing. We may change pricing, plan features, or billing terms on a prospective basis with reasonable notice.
6. Communications and Electronic Notices
By creating an account or using the Services, you consent to receive communications from us electronically, including by email, push notification, in-app message, and, where permitted, text message. These communications may include transactional notices, legal disclosures, security alerts, service announcements, and promotional content. You may opt out of non-essential marketing communications, but you may still receive operational and legal notices related to your account or the Services.
7. Acceptable Use and Prohibited Conduct
7.1 Prohibited Activities:
You agree not to:
- Violate any applicable law, regulation, or third-party right.
- Use the Services for fraud, market manipulation, unauthorized trading, or any misleading or abusive activity.
- Interfere with, disrupt, scan, probe, or circumvent the security or integrity of the Services.
- Copy, scrape, frame, mirror, reverse engineer, decompile, or attempt to derive source code from the Services except where prohibited by law.
- Upload, submit, or transmit malware, harmful code, deceptive content, or content that is unlawful, defamatory, infringing, or otherwise objectionable.
- Use bots, automation, or high-volume processes to access the Services in a manner that exceeds normal permitted usage or burdens our infrastructure.
7.2 Enforcement:
We may investigate suspected misuse and may suspend, limit, or terminate access to the Services, remove content, or take any other action we believe is necessary to protect the Services, our users, or third parties.
8. User Content, Feedback, and AI Features
8.1 Your Content:
You retain ownership of content and data you submit to the Services, subject to the rights you grant to us in these Terms. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, store, reproduce, process, modify, display, and otherwise use your content as needed to operate, support, secure, improve, and provide the Services.
8.2 Feedback:
If you provide suggestions, ideas, bug reports, or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback for any lawful purpose without compensation or attribution to you.
8.3 AI Features:
AI-powered features may generate summaries, classifications, prompts, or other outputs based on your inputs and available data. Those outputs may be incomplete, inaccurate, outdated, or not suitable for your circumstances. You are responsible for reviewing all AI-generated output before relying on it.
9. Intellectual Property Rights
The Services, including all software, designs, text, graphics, trade names, trademarks, service marks, logos, compilations, and other content made available by us, are owned by Trade It or our licensors and are protected by intellectual property and other applicable laws. Except for the limited right to use the Services in accordance with these Terms, no right, title, or interest in the Services is transferred to you.
10. Third-Party Services, Other Websites, and Content
10.1 Third-Party Services:
Trade It may provide links or access to other websites, apps, products, or services provided by third-party service providers ("Third-Party Services") when you visit the App or Site or otherwise use the Services.
10.2 No Review, Control, or Endorsement:
Third-Party Services are not reviewed, controlled, examined, sponsored, or endorsed by Trade It, and Trade It is not responsible for the information, advertising, products, resources, or other material of any Third-Party Services or any link contained in Third-Party Services. The inclusion of any Third-Party Services does not imply endorsement by Trade It of the owner or sponsor of the Third-Party Services or their content. Your use of any such Third-Party Services is at your own risk.
10.3 No Representations or Warranties:
Trade It makes no representations or warranties with respect to Third-Party Services and will not be liable for such Third-Party Services, even when used in conjunction with the Services. Trade It does not endorse or sponsor any products or services provided by third parties that are made available through the Services.
10.4 Third-Party Terms Apply:
In using any Third-Party Services made available via the Services, you must agree to comply with and be bound by the terms of service, privacy policy, and other terms and conditions of the applicable third-party service providers.
10.5 Brokerage Activity:
Trade It is not responsible for any trading, buy or sell orders, or other activity that you conduct or that otherwise happens in connection with any of your brokerage accounts.
11. Suspension and Termination
We may suspend, restrict, or terminate your access to all or part of the Services at any time, with or without notice, if we believe you have violated these Terms, created risk for us or others, or if we discontinue the Services. You may stop using the Services at any time. Termination will not affect any rights or obligations that accrued before termination, and any provisions that by their nature should survive will remain in effect.
12. Account Information from Third-Party Sites
12.1 Authorization to Retrieve Account Information:
You may direct Trade It to retrieve your own information maintained by third parties with which you have customer relationships, maintain accounts, or engage in financial transactions ("Account Information"). By submitting information, data, usernames, passwords, API keys, PINs, other log-in information, materials, and other content to Trade It through the Services, you grant Trade It the right to use that information and content as needed to provide the Services. Trade It does not store your usernames or passwords after they are used to authenticate with the applicable third party or to obtain access tokens or similar authorization artifacts. Trade It may store API keys, access tokens, and related account data in accordance with these Terms and our Privacy Policy.
12.2 Your Representations and Agency Authorization:
You represent and warrant that you are entitled to submit that information to Trade It for this purpose without any obligation by Trade It to pay fees or be subject to restrictions or limitations, including any contained in the third party's terms of service. Trade It works with third parties to access your Account Information. Trade It makes no effort to review Account Information for any purpose, including accuracy, legality, or non-infringement. By using the Services, you expressly authorize Trade It to access and store your Account Information maintained by identified third parties on your behalf as your agent.
12.3 Brokerage Credentials and Stored Data:
For example, when you use trading features of the Services, you may be directly connected to, and you may connect your brokerage accounts to, your broker-dealer's website and/or application programming interfaces through the Services. Trade It may submit usernames, passwords, API keys, and similar credentials that you provide to log into the broker-dealer website or other similar Third-Party Services solely to authenticate with that provider and obtain access tokens or similar authorization artifacts needed to access your Account Information. Trade It does not retain usernames or passwords after that authentication or token-exchange step, but it may store API keys, access tokens, and information relating to, among other things, your registration data, portfolio holdings, watch lists, and transaction history in order to facilitate your use of the Services.
12.4 Limited Power of Attorney:
You authorize and permit Trade It to use information submitted by you to accomplish the foregoing and to configure the Services so that they are compatible with the third-party sites for which you submit your information. As described above, Trade It may store API keys, access tokens, or similar authorization artifacts and related account data, but does not retain usernames or passwords after the authentication or token-exchange step. Solely for purposes of these Terms and only to provide the Services to you, you grant Trade It a limited power of attorney and appoint Trade It as your attorney-in-fact and agent to access third-party sites and retrieve and use your information with the full power and authority necessary to do so, as you could do in person. You acknowledge and agree that when Trade It is accessing and retrieving Account Information from third-party sites, Trade It is acting as your agent and not as the agent of or on behalf of the third party that operates the third-party site.
12.5 No Review of Account Information:
Trade It does not review Account Information for accuracy, legality, or non-infringement and is not responsible for Account Information or products and services offered by or on third-party sites. Trade It is not responsible for any processing errors, fees, or other service-related issues, including those issues that may arise from inaccurate Account Information.
12.6 Technical Limitations and Freshness of Data:
With respect to the use of third-party products in conjunction with the Services, Trade It cannot always foresee or anticipate technical or other difficulties that may result in failure to obtain data, loss of data, personalization settings, or other service interruptions. Trade It does not assume any liability for the timeliness, accuracy, deletion, non-delivery, or failure to store any user data, communications, or personalization settings. When displayed through the Services, Account Information is only as current as the time shown, which reflects when the information is obtained from such sites. Such information may be more up to date when obtained directly from the relevant sites.
12.7 Third-Party Products Indemnity:
You agree to indemnify Trade It for any losses, costs, expenses, or damages incurred by Trade It due to your use of third-party products or services, including any violation of a third party's terms of service or other agreement relating to such products or services.
13. Disclaimer of Warranties
13.1 Services Provided "As Is" and "As Available":
To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and any warranties arising out of course of dealing or usage of trade.
13.2 No Guarantee of Availability, Accuracy, or Results:
We do not warrant that the Services will be uninterrupted, secure, error-free, current, or free of harmful components, or that any data, content, analytics, alerts, AI outputs, or third-party materials will be accurate, complete, reliable, or suitable for your needs. We do not guarantee profits, investment outcomes, tax results, execution quality, or the performance of any strategy.
13.3 You Assume Certain Risks:
You understand that financial markets involve risk, prices can change rapidly, technical systems can fail, and third-party providers can experience outages or errors. You assume all risk arising from your use of the Services and any decisions you make based on information made available through the Services.
14. Limitation of Liability
To the fullest extent permitted by law, Trade It and its affiliates, licensors, service providers, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or investment opportunity, arising out of or related to the Services, even if advised of the possibility of those damages. To the fullest extent permitted by law, our aggregate liability for all claims arising out of or relating to the Services will not exceed the greater of (a) the amount you paid us for the Services during the 12 months before the event giving rise to the claim or (b) $100.
15. Indemnification
You agree to defend, indemnify, and hold harmless Trade It, its affiliates, licensors, and service providers, and each of their officers, directors, employees, contractors, and agents, from and against any claims, demands, actions, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (i) your use of the Services, (ii) your content, data, or inputs, (iii) your violation of these Terms or applicable law, or (iv) your infringement or violation of any third-party rights.
16. Brokerage Account/Transactions
16.1 Brokerage Account:
In order to use certain features of the Services, including authorizing transactions, you must have an active account with a Third-Party Broker or Exchange (a "Brokerage Account"). Your Brokerage Account is subject to a separate agreement directly between you and the applicable Third-Party Broker or Exchange. Under no circumstances will Trade It have any liability for your Brokerage Account. You acknowledge that we have no control over Third-Party Brokers or Exchanges and that you may be charged fees by them. We are not responsible for any Third-Party Broker or Exchange fees. You are solely responsible for your use of Third-Party Brokers or Exchanges and agree to comply with all terms and conditions applicable to such services.
16.2 Transactions:
The Services may allow you to purchase and sell certain investments through your Brokerage Account (each, a "Transaction"). To enable you to make Transactions through the Services, you will be required to link your Brokerage Account to the Services. Trade It processes Transaction requests according to the instructions it receives from you. By initiating a Transaction through the Services, you authorize Trade It to communicate with the applicable Third-Party Broker or Exchange on your behalf and to send the details of that Transaction through to your Brokerage Account.
16.3 Execution and Account Effects:
Acceptance and execution of any Transaction is in the sole control and discretion of your Third-Party Broker or Exchange. Once a Transaction has been completed, the applicable investments will be placed in or removed from your Brokerage Account and may be reflected in your Services account. Trade It does not collect funds, execute Transactions, or otherwise act as a broker-dealer, cryptocurrency exchange, money transmitter, money services business, bank, brokerage account provider, or other financial account provider. Trade It merely communicates your purchase or sale authorizations to Third-Party Brokers or Exchanges that complete Transactions on your behalf.
16.4 No Responsibility for Order Routing or Execution:
Although you may be able to find information about investment opportunities through the Services, we are not a party to any Transaction regarding any such opportunity. We strongly recommend that you conduct your own due diligence in connection with each Transaction. All messages sent using the Services are self-directed by you to your Third-Party Broker or Exchange. All orders are executed by Third-Party Brokers or Exchanges where you have an existing account, and Trade It is not responsible for order routing or execution of any Transaction. Any confirmations of Transactions will be issued solely by your Third-Party Broker or Exchange. You are solely responsible for any and all orders placed by you and understand that all orders are unsolicited and based on your own investment decisions.
16.5 No Recommendations or Execution by Trade It:
Except to the extent expressly stated in a separate written agreement, Trade It and its affiliates, employees, agents, principals, and representatives do not recommend any Transaction or order, provide investment advice, endorse any investments, produce or provide research to any user regarding any investment, Transaction, or order, or execute any Transactions.
17. Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the jurisdiction in which Trade It is organized, without regard to conflict of law principles, except to the extent preempted by applicable federal law.
18. Dispute Resolution and Arbitration
18.1 Informal Resolution First:
Before either party files a claim against the other, the party bringing the claim agrees to try to resolve the dispute informally by sending written notice describing the issue and the requested relief. If the dispute is not resolved within 30 days after notice is received, either party may proceed as permitted under this Section.
18.2 Binding Individual Arbitration:
Except for claims that qualify for small claims court, claims relating to intellectual property or unauthorized access, or claims where arbitration is prohibited by law, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis. The arbitration will be administered by the American Arbitration Association under its applicable consumer arbitration rules, and the arbitrator will have exclusive authority to resolve disputes regarding the scope, interpretation, and enforceability of this arbitration agreement, except as limited by law.
18.3 No Class Actions; Jury Trial Waiver:
You and Trade It each agree that any dispute will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, coordinated, consolidated, or representative proceeding. If a dispute proceeds in arbitration or court, you and Trade It knowingly waive any right to a jury trial.
18.4 Court Proceedings if Arbitration Does Not Apply:
If a claim is found not to be subject to arbitration, then the claim must be brought exclusively in a court of competent jurisdiction in the jurisdiction described in Section 17, and you consent to that court's personal jurisdiction and venue, except where prohibited by applicable law.
19. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice through the Services or by other reasonable means. The "Effective" date at the top reflects the latest revision. By continuing to use the Services after updated Terms become effective, you agree to the revised Terms.
20. Miscellaneous
20.1 Entire Agreement:
These Terms, together with any policies and supplemental terms expressly incorporated by reference, constitute the entire agreement between you and Trade It regarding the Services and supersede prior or contemporaneous understandings relating to the same subject matter.
20.2 Severability and Waiver:
If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
20.3 Assignment:
You may not assign or transfer these Terms or any of your rights or obligations under these Terms without our prior written consent. We may assign these Terms, in whole or in part, at any time without restriction.
